In deze algemene voorwaarden wordt verstaan onder:
Deze algemene voorwaarden zijn van toepassing op alle aanbiedingen, offertes en overeenkomsten tussen Dienstverlener en Klant. Afwijkende voorwaarden van Klant worden uitdrukkelijk van de hand gewezen, tenzij schriftelijk anders overeengekomen.
Een overeenkomst komt tot stand op het moment dat:
4.1 Dienstverlener zal zich inspannen om de Dienst met zorg uit te voeren, conform de overeengekomen specificaties.
4.2 De Dienst omvat:
4.3 Dienstverlener garandeert een beschikbaarheid van 99,5% op jaarbasis, gemeten exclusief gepland onderhoud.
Klant is verantwoordelijk voor:
6.1 Alle prijzen zijn exclusief BTW, tenzij anders vermeld.
6.2 Facturering geschiedt maandelijks vooraf voor abonnementskosten.
6.3 Betaling dient te geschieden binnen 14 dagen na factuurdatum.
6.4 Bij niet-tijdige betaling is Klant van rechtswege in verzuim en is wettelijke handelsrente verschuldigd.
6.5 Dienstverlener is gerechtigd de prijzen jaarlijks te indexeren conform CBS-indexcijfers.
7.1 Alle intellectuele eigendomsrechten op de Dienst, software en documentatie blijven bij Dienstverlener.
7.2 Klant behoudt alle rechten op door Klant geüploade documenten en data.
7.3 Dienstverlener mag geanonimiseerde en geaggregeerde data gebruiken voor verbetering van de Dienst.
8.1 De aansprakelijkheid van Dienstverlener is beperkt tot directe schade en bedraagt maximaal het bedrag dat Klant in de 12 maanden voorafgaand aan de schadeveroorzakende gebeurtenis aan Dienstverlener heeft betaald.
8.2 Dienstverlener is niet aansprakelijk voor:
Partijen zullen vertrouwelijke informatie van de andere partij geheim houden en alleen gebruiken voor de uitvoering van de Overeenkomst. Deze verplichting geldt ook na beëindiging van de Overeenkomst.
10.1 Maandabonnementen kunnen maandelijks worden opgezegd met inachtneming van een opzegtermijn van 1 maand.
10.2 Jaarabonnementen worden aangegaan voor 12 maanden en worden stilzwijgend verlengd, tenzij opgezegd met een opzegtermijn van 2 maanden.
10.3 Bij beëindiging zal Dienstverlener Klant de mogelijkheid bieden om data te exporteren gedurende 30 dagen.
Onder overmacht wordt verstaan: stroomstoringen, internetstoringen, storingen bij cloudproviders, stakingen, overheidsmaatregelen, en andere omstandigheden buiten de macht van Dienstverlener. Bij overmacht worden verplichtingen opgeschort.
12.1 Op deze voorwaarden is Nederlands recht van toepassing.
12.2 Geschillen worden voorgelegd aan de bevoegde rechter in het arrondissement Zeeland-West-Brabant.
Dienstverlener kan deze voorwaarden wijzigen. Wijzigingen worden 30 dagen van tevoren aangekondigd. Bij substantiële wijzigingen heeft Klant het recht de overeenkomst te beëindigen.

In these terms and conditions, the following definitions apply:
These general terms and conditions apply to all offers, quotations and agreements between Service Provider and Customer. Deviating conditions of Customer are expressly rejected, unless otherwise agreed in writing.
An agreement is formed when:
4.1 Service Provider will endeavor to perform the Service with care, in accordance with agreed specifications.
4.2 The Service includes:
4.3 Service Provider guarantees an availability of 99.5% annually, measured excluding scheduled maintenance.
Customer is responsible for:
6.1 All prices are exclusive of VAT, unless otherwise stated.
6.2 Invoicing takes place monthly in advance for subscription costs.
6.3 Payment must be made within 14 days of invoice date.
6.4 In case of late payment, Customer is automatically in default and statutory commercial interest is due.
6.5 Service Provider is entitled to index prices annually according to official price index figures.
7.1 All intellectual property rights to the Service, software and documentation remain with Service Provider.
7.2 Customer retains all rights to documents and data uploaded by Customer.
7.3 Service Provider may use anonymized and aggregated data to improve the Service.
8.1 Service Provider's liability is limited to direct damage and amounts to a maximum of the amount Customer has paid to Service Provider in the 12 months prior to the damage-causing event.
8.2 Service Provider is not liable for:
Parties will keep confidential information of the other party secret and only use it for the performance of the Agreement. This obligation also applies after termination of the Agreement.
10.1 Monthly subscriptions can be cancelled monthly with a notice period of 1 month.
10.2 Annual subscriptions are entered into for 12 months and are tacitly renewed, unless cancelled with a notice period of 2 months.
10.3 Upon termination, Service Provider will offer Customer the opportunity to export data for 30 days.
Force majeure includes: power outages, internet failures, failures at cloud providers, strikes, government measures, and other circumstances beyond the control of Service Provider. In case of force majeure, obligations are suspended.
12.1 Dutch law applies to these terms.
12.2 Disputes will be submitted to the competent court in the Zeeland-West-Brabant district.
Service Provider may change these terms. Changes will be announced 30 days in advance. In case of substantial changes, Customer has the right to terminate the agreement.

6.5 Le Prestataire est en droit d'indexer les prix annuellement selon les indices de prix officiels.
7.1 Tous les droits de propriété intellectuelle sur le Service, les logiciels et la documentation restent au Prestataire.
7.2 Le Client conserve tous les droits sur les documents et données téléchargés par le Client.
7.3 Le Prestataire peut utiliser des données anonymisées et agrégées pour améliorer le Service.
8.1 La responsabilité du Prestataire est limitée aux dommages directs et s'élève au maximum au montant que le Client a payé au Prestataire dans les 12 mois précédant l'événement dommageable.
8.2 Le Prestataire n'est pas responsable de :
Les parties garderont confidentielles les informations de l'autre partie et ne les utiliseront que pour l'exécution de l'Accord. Cette obligation s'applique également après la résiliation de l'Accord.
10.1 Les abonnements mensuels peuvent être résiliés mensuellement avec un préavis d'1 mois.
10.2 Les abonnements annuels sont conclus pour 12 mois et sont tacitement renouvelés, sauf résiliation avec un préavis de 2 mois.
10.3 À la résiliation, le Prestataire offrira au Client la possibilité d'exporter les données pendant 30 jours.
La force majeure comprend : pannes de courant, pannes internet, pannes chez les fournisseurs cloud, grèves, mesures gouvernementales, et autres circonstances hors du contrôle du Prestataire. En cas de force majeure, les obligations sont suspendues.
12.1 Le droit néerlandais s'applique à ces conditions.
12.2 Les litiges seront soumis au tribunal compétent du district de Zeeland-West-Brabant.
Le Prestataire peut modifier ces conditions. Les modifications seront annoncées 30 jours à l'avance. En cas de modifications substantielles, le Client a le droit de résilier l'accord.
